Terms of Service

These Terms of Service ("Terms") govern your use of the CoreCollect platform ("Service"), operated by CoreCollect LLC ("CoreCollect," "we," "us," or "our"), a Texas limited liability company. By signing up for or using the Service, you agree to these Terms.

1. What CoreCollect Is

CoreCollect is a software platform that helps real estate brokerages track guest cards, lease confirmations, movers forms, invoices, agent commissions, and related workflows. We provide the software; you provide the data, the customer relationships, and the underlying real estate business.

2. Who Can Use CoreCollect

You may use CoreCollect only if:

Tenants, movers, property representatives, and other third parties who receive documents through the Service (for example, to sign a lease confirmation) are covered by these Terms only with respect to the specific interaction — you don't need a CoreCollect account to sign a document sent to you.

To use most features of the Service you'll create an account (either as a brokerage or as an agent invited by a brokerage). You are responsible for:

4. Pricing and Payment

CoreCollect charges a platform fee of 3.5% of each commission collected through the Service. There are no upfront fees, monthly subscriptions, or setup charges. You only pay when you get paid.

The 3.5% fee is calculated on the gross commission amount marked as "invoice paid" in the Service. The fee is due at the time payment is recorded. We may change our pricing on 30 days' written notice; changes apply only to commissions collected after the effective date.

You are responsible for all taxes, transaction fees charged by third parties (banks, payment processors), and any chargebacks or disputes arising from your commission collections.

5. Your Data

You own your data. Guest cards, lease confirmations, invoices, agent records, commission history, and all other data you or your agents enter into the Service belongs to you and your brokerage.

We act as a data processor: we store and process your data to run the Service on your behalf. We do not sell your data, use it to train AI models, or share it with third parties except as needed to run the Service (see our Privacy Policy).

You grant CoreCollect a limited license to store, display, and process your data solely for the purpose of providing the Service to you.

8. Fraud Prevention

The Service captures certain metadata (IP addresses, timestamps, signature information) when documents are signed. This is used to help detect and prevent fraud in commission workflows. You agree that this metadata may be reviewed by us, shared with you as the brokerage owner, and provided to law enforcement or regulators if we reasonably believe fraud has occurred.

9. Third-Party Services

The Service uses third-party providers (currently Firebase by Google for hosting and data storage, EmailJS for email delivery, and Netlify for site hosting). Their terms and privacy practices apply to their portion of the Service. See our Privacy Policy for details.

10. Termination

You may cancel your account at any time by emailing team@getcorecollect.com. Upon cancellation:

We may suspend or terminate your account, with or without notice, if you materially breach these Terms, use the Service for fraud or illegal activity, or fail to pay fees when due.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AGAINST ALL THREATS.

CoreCollect is a software tool, not a substitute for legal, tax, or accounting advice. You are responsible for compliance with real estate laws, tax obligations, and licensing requirements in your jurisdiction.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORECOLLECT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT OF FEES YOU PAID TO CORECOLLECT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT WILL CORECOLLECT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.

13. Indemnification

You agree to defend, indemnify, and hold harmless CoreCollect and its officers, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any data you or your agents submit through the Service.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved as follows:

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of the Service after the effective date means you accept the updated Terms. If you don't agree, cancel your account before the effective date.

16. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and CoreCollect regarding the Service.

No waiver. Our failure to enforce any provision doesn't waive our right to enforce it later.

Severability. If any provision is found unenforceable, the rest remain in effect.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
